TERMS OF USE - PLUGPRICE

PlugPrice Application

Welcome to the PlugPrice application (the "App"). Please read these Terms of Use carefully before using the

App.

1. ACCEPTANCE OF TERMS

By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and

agree to be bound by these Terms of Use, as well as our Privacy Policy, which is a separate document. These

Terms of Use constitute a legally binding agreement between you and PlugPrice BV, with registered office at

Minderbroedersstraat 39/5, B-9100 Sint-Niklaas, Belgium, company registration number (KBO/BCE)

1028.438.243 (“PlugPrice”). PlugPrice is the App owner/operator.

We make the App available to users who are 18 years of age or older. If you are aged between 16 and 18, you

confirm that you have the permission and consent of a parent or legal guardian before utilizing the App. In

cases where you are under 16, or if such usage is prohibited by law, you may not create an account or use the

App. By applying for an account and using the App, you represent and warrant that you are of legal age to

form a binding contract and meet all of the foregoing eligibility requirements. If you do not meet these

requirements, or if you do not agree to these Terms, you may not access or use the App. PlugPrice may refuse

access to and usage of the App for any individual or Business at its sole discretion.

2. DESCRIPTION OF SERVICE

PlugPrice provides electric vehicle users with information about nearby charging stations and comparative

pricing between different charging providers. While PlugPrice strives to provide accurate and up-to-date

information, the service is provided on a "best effort" basis, and PlugPrice does not guarantee the accuracy or

real-time availability of such information. Features include:

3. ACCOUNT REGISTRATION

3.1 To use certain features of the App, you must register for an account. During registration, you will be

required to provide certain information, including a valid email address, password and country of residence.

This information is collected and processed by PlugPrice in accordance with our Privacy Policy.

3.2 You are fully and solely responsible for maintaining the confidentiality and security of your account

information and password, and for all activity on your account, even if such activities were not committed by

you.

3.3 You will promptly disable access to the App if you believe your account has been compromised or stolen,

and you agree to notify us immediately of any unauthorized use of your account or any other breach of

security. PlugPrice will not be liable for any losses or damages arising from unauthorized use of your account or

password, and you agree to indemnify and hold PlugPrice harmless for any unauthorized, improper or illegal

use of your account and any charges and taxes incurred, unless you have notified us via e-mail at

support@plugprice.com that your account has been compromised and have requested that we block access to

it, which we will do as soon as reasonably practicable.

3.4 You agree that all information you provide during account registration is accurate, current, and complete,

and you will update such information as necessary to maintain its accuracy. You have the right to access,

rectify, erase, restrict the processing of, and object to the processing of your personal data. Please refer to our

Privacy Policy for more information on how we handle your data and your rights under GDPR.

4. USER CONTENT

4.1 You may be able to submit content to the App, such as comments about charging stations. PlugPrice has

no obligation to accept, display, or maintain any content. Moreover, PlugPrice reserves the right to remove and

permanently delete any content uploaded by you, without notice and for any reason.

4.2 By submitting content, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide

license to use, copy, modify, create derivative works based on, distribute, publicly display, and publicly perform

such content in connection with the services we provide.

4.3 You are solely responsible for any content you submit. You represent and warrant that any content that

you upload: (i) complies with applicable law; (ii) does not infringe or violate any third-party intellectual

property rights, privacy or publicity rights, or moral rights; and (iii) you have all necessary rights and authority

to submit such content.

4.4 You agree not to post content that:

5. LOCATION SERVICES

5.1 The App requires access to your device's location services to show you nearby charging stations. By using

the App, you consent to the collection and use of your location data as specified in our Privacy Policy. The

Privacy Policy provides detailed information on how your location data is collected, used, stored, and protected,

in compliance with GDPR.

5.2 You can disable location services through your device settings, but this may limit the functionality or

stability of the App.

6. THIRD-PARTY SERVICES AND CONTENT

6.1 You acknowledge that the App may integrate or interoperate with products or services of third parties

(“Third-Party Products”), or import or export data and other content to or from such Third-Party Products,

including for displaying information about charging stations owned and operated by third parties.

6.2 Any use of Third-Party Products is solely at your own risk. We are not responsible for any Third-Party

Products, nor do we guarantee the accuracy of third-party information, including but not limited to pricing,

availability, or compatibility with your vehicle.

6.3 Your interactions with Third-Party Products, including payment for charging services, are solely between

you and the third-party provider. To the extent permitted by applicable law, we shall not be liable for any

issues arising from your interactions with Third-Party Products or their providers, except in cases of our gross

negligence or willful misconduct.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 All content, features, and functionality of the App, including but not limited to text, graphics, logos, icons,

interfaces and software, are owned by us, our licensors, or other providers and are protected by copyright,

trademark, and other intellectual property laws.

7.2 You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any

content from the App without our express written permission.

8. PROHIBITED USES

You agree not to:

reselling app data, without our express written consent

9. TERMINATION

9.1 We reserve the right to terminate or suspend your account and access to the App at any time, without

notice, for conduct that we believe violates these Terms of Use or is harmful to other users, us, or third parties,

or for any other reason, including but not limited to prolonged inactivity, fraudulent, harassing or abusive

behavior or breach of payment obligations (if applicable). For paying users, termination for reasons other than

material breach will be subject to applicable consumer protection laws.

9.2 Upon termination, your right to use the App will immediately cease and you will not have further access to

any content that may be available through the App (including your user content).

10. DISCLAIMERS

10.1 THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER

EXPRESS OR IMPLIED.

10.2 TO THE EXTENT PERMITTED BY APPLICABLE LAW, WE DO NOT WARRANT THAT THE APP WILL BE

UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE APP IS FREE OF

VIRUSES OR OTHER HARMFUL COMPONENTS.

10.3 WE DO NOT GUARANTEE THE ACCURACY OF INFORMATION ABOUT CHARGING STATIONS, INCLUDING

AVAILABILITY, PRICING, OR COMPATIBILITY WITH YOUR VEHICLE.

10.4 NOTHING IN THIS CLAUSE SHALL EXCLUDE OR LIMIT OUR LIABILITY FOR DEATH OR PERSONAL

INJURY RESULTING FROM OUR NEGLIGENCE, FOR FRAUD, FOR GROSS NEGLIGENCE OR WILLFUL

MISCONDUCT, OR FOR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE

LAW.

11. LIMITATION OF LIABILITY

11.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE NOR OUR

DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT,

INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS

OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO (1)

YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP; (2) ANY CONDUCT OR CONTENT

OF ANY USER OR THIRD PARTY IN THE APP; (3) ANY CONTENT OBTAINED FROM THE APP; AND (4)

UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED

ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR

NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

11.2 OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE USE OF THE APP SHALL

NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, FOR ACCESS TO THE APP IN THE TWELVE (12)

MONTHS PRIOR TO THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON

WHICH YOUR CLAIM IS BASED.

11.3 NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE OUR LIABILITY FOR DEATH OR PERSONAL

INJURY RESULTING FROM OUR NEGLIGENCE, FOR FRAUD, GROS NEGLIGENCE OR WILLFUL MISCONDUCT,

OR FOR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless us, our affiliates, and our respective officers, directors,

employees, agents, and representatives from and against any claims, liabilities, damages, losses, costs,

expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

13. PLUGPRICE’S OBLIGATIONS

PlugPrice will make all reasonable efforts to make the App available to users 24 hours a day, seven days a

week. From time to time, however, the App may be unavailable for periods of time for maintenance and / or

modifications to the App. PlugPrice will endeavor to keep maintenance down time as brief as possible.

However, PlugPrice cannot guarantee that the App will be available to the users, and we will not be liable to

the users for any losses or damages, pecuniary or non-pecuniary, resulting from the interruption of their use of

the App.

PlugPrice shall not be responsible for any non-conformance of the App caused by use of the App contrary to

the instructions, or modification or alteration of the App by any party other than PlugPrice. In case of non-

conformance, PlugPrice will use all reasonable endeavours to correct any such non-conformance promptly.

Such endeavours to make a correction or substitution constitutes the sole and exclusive remedy.

14. FORCE MAJEURE

You may not hold us liable for any interruption of the App due to any act of God; blockage, disturbance or

encumbrance of the telecommunications, transport or procurement networks for whatever reason; poor quality

or interruptions of electrical current; virus or computer pirate attacks, insurrections or acts of a similar nature;

state of war or embargo; total or partial strikes within or outside of the company; lock-out, social conflicts,

sabotage or acts of vandalism; foul weather, epidemics, earthquakes, explosion, fires, storms, flooding, other

natural disasters; water damage, incapacity to obtain raw materials or supplies; legal or regulatory

modifications applicable to our App, and any other case beyond our voluntary control preventing the normal

functioning of the App.

15. DATA PROTECTION

You acknowledge and agree that PlugPrice may collect and process your personal data in connection with your

use of our App. PlugPrice undertakes to ensure compliance with all applicable data protection laws and

regulations, including but not limited to the EU General Data Protection Regulation and any other relevant

legislation or regulation governing the processing of personal data. All rights and obligations of users with

respect to the processing of personal data pursuant to these Terms of Use shall be governed by our Privacy

Policy. The Privacy Policy is an integral part of these Terms of Use and can be accessed through the following

16. GOVERNING LAW AND JURISDICTION

16.1 These Terms of Use shall be governed by and construed in accordance with Belgian law, without regard

to its conflict of law provisions. If you are a consumer, however, you will benefit from any mandatory

provisions of the law of the country in which you are resident. Nothing in these Terms affects your rights as a

consumer to rely on such mandatory provisions of local law.

16.2 You agree that any legal action or proceeding arising out of or relating to these Terms of Use shall be

brought exclusively in the courts of Brussels, Belgium. However, as a consumer, you also have the right to

bring an action in the courts of your place of domicile.

17. ALTERNATIVE DISPUTE RESOLUTION

17.1 In accordance with the EU ADR Directive and the EU ODR Regulation, European Union consumers also

have the right to refer disputes to an approved alternative dispute resolution provider.

17.2 The European Commission provides an Online Dispute Resolution platform, which is available at

http://ec.euroDa.eu/consumers/odr/.

18. CHANGES TO TERMS

18.1 We reserve the right to modify these Terms of Use at any time. We will provide notice of any material

changes by posting the updated Terms of Use on the App or by other means.

18.2 Your continued use of the App after any modifications to the Terms of Use constitutes your acceptance

of the modified Terms of Use.

19. SEVERABILITY

If any provision of these Terms of Use is held to be invalid or unenforceable, such provision shall be struck and

the remaining provisions shall be enforced to the fullest extent under law. The invalid, unenforceable or illegal

provision shall be modified or replaced by a substitutive provision that achieves to the fullest extent possible

the same commercial intent of the parties.

20. APP DISTRIBUTION PLATFORMS

20.1 This App is made available through Apple Inc.'s App Store ("Apple App Store") for iOS devices and

through Google LLC's Google Play Store ("Google Play") for Android devices. Your use of the App through these

platforms is also governed by:

20.2 These Terms are concluded between you and PlugPrice BV only, and not with Apple or Google.

However, Apple and Google (and their respective subsidiaries) are third-party beneficiaries of these Terms

when you access the Service through their respective platforms and have the right to enforce these Terms

against you.

20.3 Apple and Google are not responsible for:

(a) The App or its content

(b) Maintenance and support services for the App

(c) Any warranties regarding the App

(d) Addressing any claims relating to the App, including product liability claims, claims that the App fails to

conform to legal requirements, or intellectual property infringement claims

(e) Investigation, defense, settlement and discharge of any third-party claims

PlugPrice BV, not Apple or Google, is solely responsible for the App and its content.

20.4 All subscription payments are processed through the Apple App Store billing system (for iOS) or Google

Play billing system (for Android). By subscribing, you agree to the payment terms of the respective platform.

PlugPrice does not process or store your payment information. Apple and Google are solely responsible for

their respective subscription management interfaces, billing systems, and payment processing. PlugPrice

provides access to these systems through the App but is not responsible for their operation, availability, or

accuracy. For your convenience, the PlugPrice App provides direct access to platform subscription management

through Menu → Account → Premium. Detailed subscription terms are provided in Section 21.

20.5 Refund requests for purchases made through the Apple App Store or Google Play must be submitted

directly to Apple or Google in accordance with their respective refund policies. PlugPrice cannot issue refunds

for purchases made through these platforms.

20.6 You represent and warrant that you are not located in any country subject to a U.S. Government

embargo or designated as a "terrorist supporting" country and are not listed on any U.S. Government list of

prohibited or restricted parties.

20.7 For issues related to the App, contact PlugPrice at contact@plugprice.com.For platform-specific issues

(billing, downloads, non-app account access), contact Apple or Google through their respective support

channels.

21. SUBSCRIPTIONS AND IN-APP PURCHASES

21.1 PlugPrice offers subscription-based access to premium features beyond the free version. Subscription

fees and available plans may vary by region and platform. Subscriptions are personal and non-transferable.

Each subscription is licensed for use by a single individual only and may not be shared with or transferred to

other persons.

21.2 Payments are processed through:

PlugPrice does not process or store your payment information.

21.3 Subscriptions automatically renew at the end of each period unless cancelled before the renewal date.

Your account will be charged according to the platform's billing cycle.

21.4 You can view and manage your subscription in the PlugPrice App at Menu → Account → Premium.

Subscription modifications (cancellation, plan changes, payment updates) are processed through Apple App

Store (iOS) or Google Play (Android). The App provides direct access to your platform's subscription

management settings. Cancellations take effect at the end of the current billing period. There are no partial

refunds for unused time.

21.5 Refunds are subject to Apple's and Google's respective refund policies. Contact the platform directly

through their support channels. PlugPrice cannot issue refunds for purchases made through the Apple App

Store or Google Play.

21.6 If offered, free trials must be cancelled before the trial end date to avoid charges. Cancellation

instructions are the same as Section 20.4.

21.7 We may change subscription prices with advance notice. Changes apply to new subscriptions and

renewals after the effective date. Current subscribers will be notified per platform requirements and applicable

law.

21.8 Subscriptions purchased through the Apple App Store are valid only for iOS devices and do not

automatically transfer to Android devices. Similarly, subscriptions purchased through Google Play are valid only

for Android devices and do not automatically transfer to iOS devices. If you switch platforms, you will need to

purchase a new subscription or cancel your existing subscription.

21.9 Upon termination or expiration of your subscription, you will lose access to premium features. Your

account and basic (free) features will remain accessible unless you delete your account or we terminate it in

accordance with Section 9 of these Terms.

21.10 We may offer promotional pricing, discounts, or special offers from time to time. These offers may be

subject to additional terms and conditions, eligibility requirements, and limited availability. Promotional offers

cannot be combined unless explicitly stated.

21.11 Subscription prices may include applicable taxes according to your jurisdiction and platform policies.
